Phasetech Ltd Conditions of Sale
1. These conditions of sale shall apply to all contracts with Phasetech Ltd to the exclusion of all other terms and conditions. All contracts shall be governed by and interpreted in accordance with English Law.
2. No variations to these conditions shall apply unless confirmed in writing by a director of Phasetech Ltd.
3. Orders will be accepted if received by post or facsimile. Orders received by e-mail will be confirmed by facsimile and if no query is raised within 24 hours of transmission the details in that facsimile will form the basis of the contract.
4. Phasetech Ltd reserve the right to make changes to specifications without notice provided these changes do not materially affect quality or performance.
5. Delivery times are quoted in good faith but cannot be guaranteed. Phasetech Ltd will not accept liability for loss or damage resulting from failure to meet expected delivery dates.
6. Phasetech Ltd will arrange delivery, kerbside, to the address specified in the order. Unless otherwise agreed in writing it is the responsibility of the purchaser to arrange offloading protection storage and insurance of the equipment from that time.
7. The purchaser must inspect the equipment on receipt and advise Phasetech Ltd and the carrier of any damage or shortages within 10 days. In the case of non-delivery Phasetech Ltd must be advised within 10 days of the advised delivery or all rights will be forfeited.
8. If the purchaser cannot accept delivery of the equipment at the agreed delivery date Phasetech Ltd will arrange storage and insurance at the purchaser's expense until delivery can be accepted. Equipment will be invoiced and payment due at the original delivery date.
9. If installation and connection is included in the contract the following sub-clauses apply:
a) Unless otherwise agreed in writing work will be carried out during normal working hours Monday to Friday.
b) It is the responsibility of the purchaser to offer a clear unencumbered work site.
c) A single phase 230v electricity supply will be made available to Phasetech Ltd personnel for use for power tools etc.
d) If it is necessary to isolate the mains electrical supply prior agreement on timing will be made. The period of such isolation cannot be guaranteed and Phasetech Ltd will not be held liable for any consequential loss or damage resulting from extended mains isolation.
e) Completion dates are quoted in good faith but Phasetech Ltd will not be held liable for consequential loss or damage resulting from delayed completion.
10. Phasetech Ltd will retain title to the equipment until all monies due have been received.
11. Payment will be made within 30 days of invoice by approved accounts. Interest at Lloyds TSB base rate + 4% p.a. will be payable on all accounts settled later than 30 days after invoice date. Phasetech Ltd reserve the right to require payment with order from purchasers who do not have approved account facilities.
12. Equipment is guaranteed against failure for 12 months from date of despatch. However the equipment is susceptible to damage from excess voltage excess temperature and excess harmonics and Phasetech Ltd will accept no liability for failure caused by such external factors. Phasetech Ltd will not be held responsible for any direct or indirect consequential loss resulting from failure of the equipment. This warranty does not cover defects resulting from fair wear and tear, misuse, neglect, failure to carry out routine maintenance of the equipment or defects in equipment which has been modified by anyone other than Phasetech Ltd.
